By accessing or using Magnus's immersive 3D virtual workspace platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

Magnus provides an immersive 3D virtual workspace where users can:

• Interact with AI-powered employee agents (powered by Claude, GPT-4, Gemini, Grok, and other AI providers)
• Collaborate with team members in real-time within a 3D environment
• Generate documents and content with AI assistance
• Connect with third-party integrations (Google, Slack, GitHub, Figma, Dropbox, etc.)
• Use voice input/output features powered by ElevenLabs
• Access the platform from multiple devices including mobile

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate and current
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account and use the Service.

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Harass, abuse, or harm other users
• Transmit malware, viruses, or other malicious code
• Attempt to gain unauthorized access to the Service or other systems
• Use AI agents to generate illegal, harmful, or deceptive content
• Circumvent any technical measures we use to provide the Service
• Use the Service for any purpose that is harmful to Magnus or its users
• Resell or redistribute the Service without authorization

When using AI agents within our Service, you acknowledge and agree that:

• AI-generated content may not always be accurate, complete, or appropriate
• You are responsible for reviewing and verifying all AI-generated content before use
• AI agents are tools to assist you, not replacements for professional judgment
• You will not rely solely on AI agents for critical business, legal, medical, or financial decisions
• AI agent capabilities are subject to the limitations of underlying AI providers

Magnus is not responsible for any decisions made based on AI-generated content or any consequences resulting from such decisions.

Certain features of the Service require a paid subscription. By subscribing, you agree to:

• Pay all fees associated with your chosen subscription plan
• Provide valid payment information
• Authorize us to charge your payment method on a recurring basis

Subscription fees are non-refundable except as required by law or as explicitly stated in our refund policy. You may cancel your subscription at any time, but you will continue to have access until the end of your current billing period.

We reserve the right to change our pricing at any time. Price changes will take effect at the start of your next billing period following notice of the change.

Our Intellectual Property

The Service, including its original content, features, functionality, and 3D environments, is owned by Magnus and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

Your Content

You retain ownership of any content you create using the Service. By using the Service, you grant us a limited license to store, display, and process your content as necessary to provide the Service. Content generated with AI assistance is subject to the terms of the underlying AI providers.

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. You may request a copy of your data within 30 days of termination by contacting us.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that AI agents will produce accurate or reliable results. Any reliance you place on AI-generated content is strictly at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MAGNUS AI, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction.
